| 2. Orders

| 2.1 |
We only supply equipment to UK to
businesses, corporations, government bodies, registered charities,
educational, leisure, entertainment and medical establishments.

We do NOT sell goods to consumers or
domestic users (private individuals). |
| 2.4 |
If you purchase goods by registering as a
business but are in fact are a private individual, then the protection
afforded to a private individual under the Consumer Protection (Distance
Selling) Regulations 2000, will not apply to your purchase. |
| 2.5 |
We reserve the right to refuse an order
without any reason. |
| 2.6 |
If you pay by credit/debit card then we can
only deliver goods to the registered address that your payment card
statements are sent to. |
| 2.7 |
Cancellation no variation to an order shall
be binding unless we have previously agreed it in writing with the you. |
| 2.8 |
Goods are NOT sold on a sale or return
evaluation basis. Please ensure that you select the correct model
carefully as the manufacturer and therefore ourselves, cannot accept order
cancellations or returned goods once ordered. |

If equipment is required for a specific
timed event, then please allow sufficient time for your order to be
processed and delivered as we will not be held responsible for any
additional expenses your may incur. |

Special orders or orders for customised
goods cannot be cancelled. Once ordered, goods have to be paid for in
full. |

| 3. Order processing |
| 3.1 |
We do not accept telephone orders. Orders
can be placed via our website. |
| 3.2 |
You will have an opportunity to check and
correct any input errors in your order up until you submit your order (by
clicking the Confirm Order button on the Order Confirmation page). |
| 3.3 |
A card processing surcharge will apply when
selecting credit card payment methods. This is to cover the charges levied
on retailers by the credit card companies for accepting their payment
cards. There is no surcharge when paying by debit card or other payment
methods. |
| 3.4 |
We apply a minimum order fee of £5.00,
which equates to £17.50 including delivery and VAT, to any order placed
below £5.00 gross. |

After submitting an order to us we will
give you an Order Number and details of the products you have ordered. We
will send these details to you in an e-mail (our first e-mail). Please
note that this e-mail is an acknowledgement, not acceptance of your order. |

Acceptance of your order and the creation
of a legally binding contract between us will only occur when we send you
a second e-mail, which will contain confirmation that the status of your
order has changed to "Order Processing".

We will tell you if your payment details
cannot be authorised for any reason and may invite you to pay by another
method. |
| 3.8 |
Once payment has been accepted your order
can be amended but NOT cancelled. |
| 3.9 |
We will then send you an e-mail confirming
the dispatch of your goods.

| 4. Prices and payment |
| 4.1 |
All prices and charges on this site are
shown in UK pounds sterling as default. Prices shown on our catalogue
exclude VAT and delivery charges. |
| 4.2 |
The total cost of your order will be the
price of the products you order, plus any additional services you choose,
plus the applicable delivery charge, plus VAT at the current rate. All
these will be set out clearly in the Order Confirmation screen before you
submit your order. |

Prices, offers and products are subject to
availability and may change before (but not after) we accept your order.
If something becomes unavailable we may offer you an alternative. |
| 4.4 |
We try very hard to ensure that all
information on this site is accurate. However, just occasionally, an error
can occur. If we discover an error in the price or description of a
product you have ordered, we will tell you and ask you whether you wish to
continue with your order or cancel it. |

Property in all goods supplied does not
pass to the buyer until after full payment has been received and cleared. |

Delivery charges |
| 5.1 |
We make every effort to keep our delivery
charges as low as possible. |
| 5.2 |
Our standard delivery method uses the Royal
Mail parcel delivery service. Royal Mail aim to deliver your parcel within
three to five working days from dispatch of your order. |
| 5.3 |
For priority and timed delivery options,
complete the checkout process and send an email to our
Sales Department, quoting your order number and delivery requirements;
e.g. tracked, next day or before 9.00AM. We will contact you by email, or
phone, to confirm the final delivery charge which is based on the size and
weight of the package. You will then have to option to proceed with your
order, by paying the charge for forwarding, or to cancel your order and
receive a full payment method refund. |

| 6.1. How we
deliver |

Smaller products such as cables and some
accessories are generally delivered either by courier or by post. Larger
items are generally delivered by our own delivery service, national
couriers services and courier services used by our distributors. Very
occasionally different products in the same order may be delivered
separately. |

| 7. Delivery times |
| 7.1 |
Delivery times are calculated in working
days - i.e. Monday to Friday inclusive. If you order after 14.00, please
calculate your delivery time as if your order had been placed the
following working day. In the case of bank holidays and just before
Christmas, please allow an extra two working days. |

Please allow for delays over public holiday
periods. All deliveries must be signed for. If you are out when the
courier arrives, the courier will leave a card with a contact number for

| 8. Delivery dates |
| 8.1 |
Delivery dates are given in good faith as
supplied by the manufacturers or their distributors. We will not be liable
for any failure to effect delivery of the whole or part of any order due
to any events, errors or any other circumstances. |

If delivery is delayed we will notify you
as soon as we are aware of the delay and you agree to give us such an
extension to effect delivery as is reasonable in the circumstances,
especially when goods are customised to your requirements. For
non-customised goods you can cancel the order without penalty on both
sides. |

| 9.
Receipt of goods |
| 9.1 |
All goods will be subject to availability. |
| 9.2 |
Once delivered goods cannot be exchanged or
returned. |
| 9.3 |
Please do not book the installation of
equipment before delivery to allow you the chance to receive and fully
test the equipment. We will not be held responsible for any additional
expenses you may incur, for instance, late installations. |
| 9.4 |
If equipment is required for a specific
timed event, then please allow sufficient time for your order to be
processed and delivered as we will not be held responsible for any
additional expenses your may incur. |
| 9.5 |
Goods MUST be checked for physical damage
before signing to accept delivery from the courier. If the goods appear
damaged or broken, please DO NOT sign to accept delivery of the goods. Contact us
immediately, or within two working days, by sending an email to our
Sales Department, quoting your order number and a description
of the damage. When signing for
acceptance of your goods, you are signing to accept legal ownership of your
goods in perfect physical condition. If you do not check the goods at the time
of delivery (or within two working days) then you will forfeit
your right to reject the goods for physical damage and we cannot replace
or take back your goods. |

Once you have accepted the goods you have 2
working days to check that your product is working satisfactory. Should
the goods not work satisfactorily you must contact our
Returns Department to obtain a Returns Authorisation Number in order
that arrangements can be made for collection and inspection, providing the
goods are undamaged, unused, and in their original packing and you have
not marked either the goods or their packing in any way. If you fail to
comply with these terms you will be deemed to have accepted the goods. |

Goods returned in undamaged, unused
condition and in their original packing which has not been defaced in any
way, will be inspected by the manufacturer or their distributor and a
replacement or return of your goods will be made based on their decision. |
| 9.8 |
After two working days, the manufacturers
warranty comes into effect. Please note goods are NOT sold on a sale or
return basis. |
| 9.9 |
We will not be responsible for any labour
charges, rental charges, loss of profits, charges, expenses, any other
charges nor consequential loss or damage as a result of delivery delays,
incorrect goods or defective goods being delivered to its customers. |

| 10. Quality of goods |
| 10.1 |
We warrant that (subject to the other
provisions in these conditions) the goods will be of satisfactory quality. |
| 10.2 |
Since we are not the manufacturer of the
goods, all warranties, conditions and other terms implied by statute or
common law (except as to title) are, subject to above, expressly excluded.
However, we will endeavour to pass on to you the benefit of any warranty
or guarantee given by the manufacturer in respect of the goods. |
| 10.3 |
Where the goods incorporate software, title
of the software is subject to the manufacturers license. You agree to
comply fully with the terms of any software license that is supplied with
the goods. Failure to do so may lead to such software license being
revoked by the owner of the software. We cannot take liability for any
changes to software which may affect the operation of your equipment. |

| 11. Description of goods

Description of goods on our website is
given for the purpose of providing information on manufacturers goods.
Such goods are liable to change in specification by the manufacturers
without notice. |

Although every care is given to providing
accurate descriptions and pricing on the website we cannot be held
responsible for any incompleteness, errors or omissions. E.&O.E. |

Product information guide, articles and
features are produced by AV-Sonix Ltd for the sole purpose of
providing general information on audio visual equipment. No liability can
be accepted for the completeness or accuracy or completeness of this
information. |

We take no responsibility for any problems
or accidents resulting from installation or equipment. It is recommended
that a qualified electrician or other competent person should always
perform installation and measurements.

| 12. Warranties |
| 12.1 |
All goods are covered by manufacturers
warranties as stated on the manufacturers product description. |
| 12.2 |
Unless otherwise marked, all products are
new and come with a 1 year manufacturers RTB (return to base) warranty. |

| 13. Title
|
| 13.1 |
Risk of damage to or loss of goods shall
pass to you on delivery and any outstanding debt beyond the payment terms
granted will be recovered by legal procedure. |

| 14. Assignment
of goods |
| 14.1 |
You may not assign, charge or transfer any
of your rights or obligations under any Contract without our prior written
consent. We may assign and/or sub-contract any Contract at any time on
notice to you.

| 15. Force majeure |
| 15.1 |
We are not liable for delays in delivery or
cancellation of your order caused by circumstances beyond its reasonable
control. Examples are supplier transport, manufacturers production
problems, governmental action and natural disasters. If this lasts for
more than two months, then the contract may be terminated by either party
without compensation. |

| 16. Contract |

The Contract shall be governed by the laws
of England and the parties shall submit to the sole jurisdiction of the
English courts. |

We, our Group companies and our suppliers
own the copyright, trademarks and all other intellectual property rights
in all material and content on this website, which you may use, download,
copy, publish, transmit or otherwise make available by any other means
only for your own personal, non-commercial use. Any other use or
reproduction of the material or content is strictly prohibited.
